Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Verslay platform, including the website at verslay.com, the dashboard at hub.verslay.com, and the Verslay Model Context Protocol (MCP) server (together, the "Service"). The Service is operated by Verslay, a product operated by its founders ("Verslay," "we," "us," or "our"). By creating an account, connecting Verslay to an AI assistant, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. What Verslay Is

Verslay is a platform that lets business owners run AI "agents" (implemented as skills) through a central MCP server. You connect your own accounts and tools, and the agents perform tasks such as email handling, research, CRM updates, reporting, and other business operations on your behalf.

Verslay does not run its own artificial-intelligence models. The intelligence is provided by a third-party AI assistant that you use separately (currently Anthropic's Claude, via claude.ai). Verslay is the mechanical layer that registers agents, stores your business memory, resolves your credentials, and securely proxies authenticated requests to the services you connect. Your AI assistant decides what to do; Verslay executes the specific tools you have enabled.

2. Eligibility & Account Registration

  • You must be at least 18 years old to use the Service.
  • You must provide accurate and complete information when you register.
  • You are responsible for maintaining the security of your account credentials and for all activity under your account.
  • We support passkeys and, optionally, an authenticator-based second factor (MFA) — we strongly encourage you to enable them.
  • One person or entity may not maintain more than one account except as expressly permitted.

3. Acceptable Use

You agree not to:

  • Use the Service for any illegal, harmful, or unauthorized purpose, or in violation of any applicable law.
  • Attempt to access other users' accounts, data, or business memory.
  • Interfere with, disrupt, or overload the Service or its infrastructure.
  • Reverse engineer, decompile, or attempt to extract the source, agent instructions, or orchestration logic of the Service.
  • Use the Service to generate or distribute content that is unlawful, abusive, deceptive, or infringes others' rights.
  • Use the Service to send unsolicited bulk communications in violation of anti-spam or electronic-communications laws.
  • Resell, sublicense, or provide access to the Service to third parties without our written consent.
  • Use automated means to scrape or access the Service beyond its intended interfaces.

4. AI-Generated Content

The Service helps produce content, recommendations, and actions using AI. You acknowledge and agree that:

  • AI outputs may be inaccurate, incomplete, or unsuitable. You are responsible for reviewing and verifying any output before relying on or acting on it.
  • AI output is not professional advice of any kind — including legal, financial, medical, tax, or accounting advice.
  • You retain ownership of the data and instructions you provide. Verslay does not claim ownership of your business data or of the outputs generated for you.
  • Agents can take real actions on connected accounts (for example, sending an email or updating a record). You are responsible for the tasks you authorize and their consequences.
  • We may use aggregated, de-identified usage data to operate and improve the Service. We do not sell your personal or business data.

5. Connected Services & Authorizations

The Service lets you connect third-party accounts (such as Google, Microsoft, HubSpot, Slack, and many others) so that agents can act on your behalf. Some connections use Verslay's own OAuth or an API key you supply; others are established through our managed-authentication provider. In all cases:

  • You authorize Verslay to access and act within the specific permissions (scopes) you grant.
  • Access tokens are encrypted at rest using AES-256-GCM; API keys are stored only as irreversible hashes.
  • Agents access your connected data in real time to perform the task you request; we do not keep copies of your emails, files, calendar, or CRM records beyond what is needed to complete a task.
  • You may disconnect any service at any time from your dashboard, which revokes Verslay's stored authorization for it.
  • Your use of each connected service remains subject to that provider's own terms and privacy policy. Verslay is not responsible for the availability, accuracy, or policies of third-party services.

6. Subscription Plans & Billing

  • The Service offers free and paid plans with differing usage limits and features.
  • Paid plans are billed on a recurring basis through our payment processor, Razorpay. Verslay stores your plan, status, and a payment-processor reference — never your full card or bank details.
  • Fees are stated exclusive of taxes unless noted; you are responsible for applicable taxes.
  • We may change pricing or plan features with at least 30 days' notice to existing subscribers before the change applies to your next billing cycle.
  • Except where required by law, payments are non-refundable; we may consider refunds on a case-by-case basis.
  • You may cancel at any time; cancellation takes effect at the end of your current billing period unless stated otherwise.

7. API Keys & Credentials

If you generate Verslay API keys or supply third-party credentials, you are responsible for keeping them secure. Treat them like passwords. If you believe a key or credential has been compromised, revoke it immediately from your dashboard and rotate it at the provider.

8. Intellectual Property

The Service — including its software, agent and skill definitions, orchestration logic, MCP tooling, branding, and design — is the intellectual property of Verslay and is protected by copyright, trademark, and trade-secret laws. You may not copy, modify, distribute, or create derivative works from any proprietary component of the Service. You keep all rights in the data and content you provide.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Verslay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising from or related to your use of or inability to use the Service — including any action taken by an agent on a connected account.

Our total aggregate liability for any claim arising out of or relating to the Service shall not exceed the amount you paid to Verslay in the twelve (12) months preceding the event giving rise to the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that AI outputs will be accurate or fit for your purposes.

11. Indemnification

You agree to defend, indemnify, and hold harmless Verslay and its founders, personnel, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, the tasks you authorize, the content you process, or your violation of these Terms or applicable law.

12. Termination

  • You may close your account at any time from your dashboard or by contacting support.
  • We may suspend or terminate your access if you violate these Terms or use the Service in a way that is harmful to others or to the Service.
  • On termination, your right to use the Service ends. We will handle your data as described in our Privacy Policy, deleting or de-identifying it within a limited period subject to our legal obligations.

13. Privacy

Your use of the Service is also governed by our Privacy Policy and Cookie Policy, which explain how we collect, use, store, and protect your information, and the rights you have as a data principal under India's Digital Personal Data Protection Act, 2023.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or a prominent notice on the Service at least 14 days before they take effect, and we will update the "Last updated" date above. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

15. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. You agree that the competent courts at Kolkata, West Bengal, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of the Service.
